This Privacy Policy (“Policy” or “Privacy Policy”) is promulgated by and on behalf of AMOGHA TECH SOLUTIONS PRIVATE LIMITED, a private limited company incorporated under the Companies Act, 2013, having its registered office at No.43/31/b/30/230/1, Pantharapalya, Nayandahalli, Bangalore, Bangalore South, Karnataka, India – 560039, bearing GSTIN 29ABBCA3935F1ZR (hereinafter referred to as the “Company,” “We,” “Our,” or “Us”). The Company, directly or indirectly, owns, operates, administers, manages, maintains, licenses, and/or controls the brand “Bazoo” (the “Brand”) and the associated online, digital, electronic, and/or otherwise intangible platforms, whether accessible via web-based interfaces (including, without limitation, websites accessible through uniform resource locators), mobile applications, software-as-a-service (SaaS) interfaces, proprietary APIs, widgets, code snippets, integrated third-party ecosystems, and any and all similar or dissimilar platforms, vehicles, or mediums (collectively, and individually as the context may demand, the “Platform”). All references to the “Platform” shall be deemed to include any and all content, code, data, information, functionality, features, services, modules, sub-domains, microsites, or tools provided, hosted, mirrored, or maintained therein.

1. INTRODUCTION, CONSENT, AND SCOPE

1.1. This Privacy Policy, as may be amended, modified, supplemented, replaced, or restated from time to time at Our sole, unilateral, and absolute discretion, is an integral part of the governance framework applicable to Your (hereinafter, “You,” “Your,” “User” or “Users”) use, access, visitation, enrollment, subscription, browsing, participation in, or engagement with the Platform, the Brand, or any products, services, offerings, functionalities, or deliverables (collectively, “Services”) made available therein or thereby.

1.2. By accessing, visiting, registering for, signing up, logging in, downloading, installing, or otherwise using or attempting to use the Platform in any manner whatsoever, whether automated or manual, whether directly or indirectly, You hereby represent, warrant, covenant, and undertake that You have fully read, understood, and voluntarily consented to be bound by all provisions, stipulations, terms, and conditions as set forth in this Privacy Policy as well as any applicable Terms of Use (“Terms”), disclaimers, policies, guidelines, notices, or other legally binding instruments incorporated herein by reference, including but not limited to all applicable laws, rules, regulations, and sectoral guidelines.

1.3. The Privacy Policy shall be deemed to be an “electronic record,” as defined under the Information Technology Act, 2000 and the rules framed thereunder, as amended from time to time. No physical, electronic, or digital signature is required to authenticate or bind You to this Privacy Policy. You acknowledge that the publication, posting, hosting, display, or availability of this Privacy Policy on the Platform shall be construed as sufficient notice to You of its terms, and Your continued use of the Platform constitutes constructive acceptance of such terms.

1.4. In the event that You are below the age of majority (i.e., under 18 years of age under Indian law), You represent and undertake that You are accessing, using, or otherwise engaging with the Platform under the direct and explicit supervision, authority, and legal permission of a parent or legal guardian who is competent to contract under the Indian Contract Act, 1872. Such parent or guardian expressly consents to this Privacy Policy on Your behalf, thereby binding You to the same. If You do not satisfy such conditions, You are prohibited from accessing or using the Platform.

1.5. Your continued use, subsequent visits, transactions, or interactions with the Platform following any updates to this Privacy Policy shall be deemed incontrovertible proof of Your acceptance of the modified or updated terms. We reserve the unconditional and unilateral right to amend, revise, suspend, discontinue, modify, or otherwise alter this Privacy Policy, in whole or in part, at any time, with or without notice. We strongly encourage You to periodically review the Privacy Policy for any changes. If at any point You do not agree with the then-effective version of this Privacy Policy, Your sole and exclusive remedy is to immediately cease use of the Platform.

2. APPLICABILITY AND EXCLUSIONS

2.1. This Privacy Policy applies solely to the information that We collect from You, about You, or pertaining to You (including, without limitation, Personal Information, Sensitive Personal Information, and Non-Personal Information, as defined herein), when You interact with the Platform. It does not apply to information collected by any third party, including but not limited to external websites, applications, plug-ins, advertisements, or any other platforms that are not owned, operated, or controlled by Us, even if accessible via links on the Platform.

2.2. The existence of any links or references to Third-Party Sites or content shall not be construed as an endorsement, guarantee, or assumption of responsibility by Us for the data privacy practices, security measures, or content standards implemented or maintained by such third parties. We strongly recommend that You review the privacy policies of all third-party platforms before sharing any information thereon.

3. DEFINITIONS

3.1. “Personal Information” means and includes any information that relates to, identifies, describes, is capable of being associated with, or could reasonably be linked, directly or indirectly, with You as an individual, including, but not limited to, name, address, date of birth, email address, mobile number, gender, age, or other identifying details, as well as any official identification or verification documents (such as PAN, passport, driving license, or voter ID) and any evidence of address or identity.

3.2. “Sensitive Personal Information” shall include such categories of personal data deemed “sensitive” under applicable laws, including, without limitation:

(a) Financial information (bank account numbers, credit/debit card details, payment instrument details);

(b) Passwords or access credentials;

(c) Biometric information;

(d) Health, medical, or physiological condition details;

(e) Sexual orientation data;

(f) Official identifiers as mandated by law; and

(g) Any other information designated as sensitive under the prevailing regulatory framework.

3.3. “Non-Personal Information” means any information that cannot by itself be used to identify a specific individual, and may include aggregated or anonymized data, IP addresses, device identifiers that do not directly identify You, browser type, operating system details, usage patterns, metadata, transactional logs, behavioral analytics, performance metrics, and similar technical or statistical information.

3.4. “User Content” or “Posts” refers to any and all content, messages, communications, feedback, reviews, testimonials, suggestions, or data submitted, posted, displayed, transmitted, or shared by You on or through the Platform, including on message boards, chat areas, forums, or other publicly accessible spaces.

4. COLLECTION OF INFORMATION

4.1. We may collect Your information through various means, including but not limited to when You:

(a) Register, create, or log into an account on the Platform;

(b) Input or upload Personal Information or Sensitive Personal Information when prompted;

(c) Communicate with Us via email, phone, chat, or otherwise;

(d) Complete transactions, place orders, request Services, or submit payment details;

(e) Interact with the Platform’s features, tools, promotions, or surveys;

(f) Access the Platform’s location-based functionalities, if enabled by You.

4.2. Collection of Personal and Sensitive Personal Information is voluntary; however, refusal to provide requested information may prevent You from accessing certain Services or functionalities.

4.3. We may automatically track certain information about You based on Your behavior on the Platform, including but not limited to IP addresses, device information, cookie identifiers, browser type, operating system, and browsing patterns. Such Non-Personal Information assists Us in improving the efficacy, responsiveness, and user experience of the Platform.

4.4. 4.5. If You post any User Content or publicly disclose information on the Platform (including in forums, message boards, or comment sections), such information may become publicly accessible, and We shall not be liable for the dissemination or misuse thereof by third parties.

5. USE OF INFORMATION

5.1. We may use the information collected from You (including Personal Information and Sensitive Personal Information) for various lawful business purposes, including without limitation:

(a) To enable, facilitate, provide, and improve the Services offered on the Platform, including the processing, completion, and management of transactions; 
(b) To verify Your identity, maintain and update Your account, enhance security, detect and prevent fraud, illegal activities, or violation of applicable policies and terms; 
(c) To develop, research, design, test, implement, or improve features, products, services, functionalities, algorithms, machine learning models, personalization engines, or user experience parameters; 
(d) To fulfill contractual obligations, respond to queries, provide customer support, and address complaints or grievances; 
(e) To enforce compliance with Our Terms, Privacy Policy, and any applicable policies, as well as to comply with requests, directives, or mandates issued by governmental, regulatory, judicial, or law enforcement authorities;

(j) For any other purpose ancillary or incidental to the above, provided that such purpose is not expressly prohibited by law.
 

5.2. We may aggregate and/or anonymize the information collected from You in order to create Non-Personal Information, which may be used or disclosed by Us at Our sole discretion without further notice or compensation to You.

6. DISCLOSURE AND SHARING OF INFORMATION

6.1. We may share Your Personal Information and/or Sensitive Personal Information with third parties under the following circumstances:

(a) Service Providers and Partners: With vendors, contractors, consultants, business partners, licensors, licensees, payment gateways, logistics providers, marketing agencies, technology enablers, or other third parties engaged to perform services on Our behalf or to assist in providing the Services. 7. SECURITY MEASURES

7.1. 7.2. While We strive to maintain a robust security posture, no security measure or transmission over the Internet can be fully guaranteed to be secure. We disclaim all liability for any data breach, hacking attempt, unauthorized intrusion, or force majeure event that compromises the integrity, confidentiality, or availability of Your data, to the extent permitted by applicable law.

7.3. You acknowledge and agree that the security of Your account credentials, including username and password, is solely Your responsibility. You must take all necessary precautions to prevent unauthorized access to Your account and immediately notify Us of any suspicious activity.

8. DATA RETENTION AND DELETION

8.1. We retain Your Personal Information only for as long as is necessary to fulfill the purposes for which it was collected, unless a longer retention period is required under applicable law, regulation, contractual obligation, or legitimate business interest.

8.2. Upon Your request or upon termination, cancellation, or deactivation of Your account, We shall endeavor to delete, anonymize, or securely dispose of Your Personal Information and Sensitive Personal Information, except to the extent retention is mandated or permitted by law. Such retained information shall remain subject to the terms of this Privacy Policy until fully deleted or anonymized.

8.3. Residual copies of Your Personal Information or Posts may remain on backup media, cached archives, or other retention mechanisms for a limited period of time thereafter, subject to Our standard backup and archival procedures.

9. RIGHTS AND CHOICES OF THE USER

We shall take commercially reasonable steps to honor Your request within a reasonable time frame. However, We reserve the right to continue sending You transactional or administrative messages.

11. CROSS-BORDER DATA TRANSFERS

11.1. By using the Platform, You acknowledge that Your Personal Information and Sensitive Personal Information may be transferred to, stored in, or processed in jurisdictions outside of India, including jurisdictions that may offer less or differing levels of data protection. In such cases, We shall take reasonable measures to ensure that adequate data protection standards are applied, such as through contractual provisions, industry best practices, or other appropriate safeguards.

11.2. Your continued use of the Platform following such transfers shall constitute Your explicit consent to the transfer, storage, and processing of information in accordance with this Privacy Policy and applicable law.

12. NO WARRANTIES OR REPRESENTATIONS

12.1. We make no express or implied warranties or representations regarding the security or privacy of Your data. The Platform, its features, and the Services are provided on an “as is” and “as available” basis, without warranties of any kind, whether statutory, express, or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

12.2. Nothing in this Privacy Policy shall be construed as creating any legal right, claim, or cause of action against Us for any disclosure, use, or loss of Your data, except as mandated by applicable law.

13. FORCE MAJEURE

13.1. We shall not be liable for any delay, failure, interruption, or inability to perform any of Our obligations under this Privacy Policy (including protection of Your Personal Information), if such delay, failure, interruption, or inability arises from or is attributable to any force majeure event, including but not limited to acts of God, governmental restrictions, war, insurrection, terrorism, riots, pandemics, epidemics, natural disasters, fire, floods, storms, strikes, labor disputes, network outages, or other events beyond Our reasonable control.

14. INDEMNIFICATION

14.1. To the maximum extent permitted by law, You agree to defend, indemnify, and hold harmless the Company, its directors, officers, employees, affiliates, agents, licensors, successors, and assigns from and against any and all claims, actions, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to Your use of the Platform, violation of this Privacy Policy, or infringement of any third-party rights.

15. CHANGES TO THIS PRIVACY POLICY

15.1. We reserve the unconditional and sole discretion to modify, amend, replace, supplement, or restate this Privacy Policy at any time, without prior notice to You. Any changes shall become effective immediately upon their posting or publication on the Platform. Your continued use of the Platform subsequent to any changes constitutes Your acceptance of the revised Privacy Policy.

16. SEVERABILITY

16.1. 17. GOVERNING LAW AND JURISDICTION

17.1. This Privacy Policy shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles. Any disputes arising out of or relating to this Privacy Policy, the interpretation thereof, or any aspect related to the Platform shall be subject to the exclusive jurisdiction of the competent courts situated in Bangalore, Karnataka, India.

17.2. You irrevocably submit to the jurisdiction of such courts and waive any objection on the grounds of venue, forum non conveniens, or any similar grounds.

19. THIRD-PARTY HOSTING, CLOUD SERVICES, AND INFRASTRUCTURE PROVIDERS

19.1. Your Personal Information and Sensitive Personal Information may be stored, processed, transmitted, mirrored, or backed-up by third-party hosting or cloud infrastructure providers, such as Amazon Web Services (AWS) or Microsoft Azure or other equivalent vendors. While We undertake reasonable diligence to ensure that such third-party service providers maintain industry-standard security measures, We disclaim any liability for their actions or omissions to the extent permitted by applicable law.

19.2. By using the Platform, You acknowledge that such third-party service providers may store data on servers located outside of India, and that their privacy policies, terms, and conditions shall be applicable to the extent that Your data is hosted or processed by such third parties. You may review privacy policy of the corresponding third-party service providers to understand how it handles data.

19.3. In the event that You have concerns regarding the security measures adopted by such third-party providers, You are encouraged to reach out to their designated data protection, privacy, or grievance officers at the contact details mentioned in their respective privacy policies. You may also direct such concerns to Our Grievance Officer at the details provided above, and We shall use commercially reasonable efforts to coordinate and facilitate a resolution.

20. ENTIRE AGREEMENT

20.1. This Privacy Policy, read in conjunction with the Terms and any other legal, regulatory, or administrative policy or notice published by Us on the Platform, constitutes the entire agreement between You and Us with respect to the subject matter herein, and supersedes any and all prior understandings, arrangements, representations, negotiations, proposals, or agreements, whether oral or written.

20.2. No waiver of any provision of this Privacy Policy shall be deemed a further or continuing waiver of such provision or any other provision.
